Staff Attorney, Contracts Administration

Summary

The Staff Attorney, Contracts Administration will be responsible for contract development and negotiation, drafting of documents and agreements, assisting all facets of the business on regulatory and compliance issues and supporting Corporate and R&D Teams in legal matters.

Essential Duties and Responsibilities

  • Drafts, reviews and negotiates contracts, agreements, MOU's and letters of intent involving the company, including confidentiality, licenses, marketing, distribution, consulting services and all other corporate, commercial, and vendor agreements.
  • Develops and maintains thorough knowledge of all material customer, construction, engineering, commercial, corporate and vendor agreements and provides advice and counsel regarding contractual rights and obligations
  • Manages contract administration and negotiations, risk management, corporate compliance, commercial, contract litigation management, non-compete and non-disclosure agreements and Project finance and EPC negotiations

Supervisory Responsibilities

  • This job may supervise an administrative assistant

Education and/or Experience

  • Must have a JD from an accredited law school, as well as 10+years of applicable corporate law experience focusing on contract administration, from a leading law firm and/or equivalent in-house experience preferably within manufacturing and or chemical industry
  • Must have demonstrated expertise experience with contract administration and negotiations, risk management, corporate compliance, commercial and vendor relations, litigation management, non-compete and non-disclosure agreements and Project finance and EPC negotiations
  • Requires excellent negotiation skills; ability to effectively resolve complex issues and conflicts in relation to agreement, contract compliance and other corporate legal areas
  • Private and Public company experience in a High growth environment a must
  • Requires sound business judgment and ability to anticipate and respond quickly to business requirements, strong organizational skills, excellent communication skills and proven analytical and negotiation skills.
  • Requires excellent negotiation skills; ability to effectively resolve complex issues and conflicts in relation to agreement and contract compliance.
  • Requires experience negotiating contracts and licenses and drafting original and/or unique contractual provisions
